Limitations on Use of Confidential Information


The University has publicized a request for proposals to install security cameras (and access controls) in these buildings on its campus located at 5345 Atlanta Highway: Jones School of Law; Harris College of Business; Harris Parker Building. A password restricted webpage is available where vendors can access the scope and pictures of where the cameras are to be installed. All the information and materials which are accessible by the vendors is considered to be Confidential Information. Each vendor must agree to use the Confidential Information solely and exclusively for the purpose of the proposed transaction.


Except as expressly provided in this Agreement, the Party receiving Confidential Information (“Receiving Party”) shall not use the Confidential Information in any manner other than for the purpose of the proposed transaction. Receiving Party shall not disclose the Confidential Information to any third party without prior written consent of the Party making the disclosure (“Disclosing Party”).


Receiving Party agrees that it will use diligent efforts to protect the secrecy and confidentiality of and avoid disclosure of the Confidential Information of Disclosing Party, including implementing equivalent security measures and degree of care that the Receiving Party uses to protect its own proprietary or Confidential Information.

Receiving Party acknowledges that there can be no adequate remedy at law for any breach of Disclosing Party’s obligations hereunder, that any such breach will likely result in irreparable harm, and therefore, that upon any breach or threatened breach of the confidentiality obligations, the Receiving Party shall be entitled to appropriate equitable relief, without the requirement of posting a bond, in addition to its other remedies at law.

The Receiving Party acknowledges that money damages alone will not be an adequate remedy for any breach by the Receiving Party of its obligations under this Agreement and that the Disclosing Party will be entitled to seek money damages and an injunction or other equitable relief in respect of any actual or threatened breach by the Confidant of this Agreement without the need for the Discloser to prove any special damage. The Parties agree that money damages are not easily calculable in a situation such as this and there agrees that an award of damages in the amount of ten thousand dollars shall be awarded to the Disclosing Party by the Receiving Party for each occurrence in which this agreement is violated by the Receiving Party or its agents, employees or volunteers acting on its behalf.

This Agreement contains the entire agreement between the parties concerning the confidentiality of the Confidential Information. No amendment, modification or discharge of this Agreement, and no waiver hereunder, shall be valid or binding unless set forth in writing and signed by each party. No failure or delay by a party in exercising any right, power or privilege under this Agreement will operate as a waiver thereof, nor will any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any right, power or privilege under this Agreement. This Agreement may be executed in one or more counterparts, each of which will be deemed an original copy of this Agreement, and all of which, taken together, shall be deemed to constitute one and the same agreement. Execution copies may be exchanged by facsimile or other electronic means.
